Pampa Group Shareholders’ Meetings: second phase of the reorganisation and simplification of its corporate structure

On 27 March 2026, the extraordinary general meetings of shareholders of the companies within the Pampa Group approved – with broad support, including the favourable vote of the AFPs – the merger of Sociedad de Inversiones Oro Blanco S.A. with its parent company Norte Grande S.A. and its subsidiary Global Mining SpA.

During the lengthy day of successive shareholders’ meetings, the independent valuation reports prepared by Banchile, Econsult and Itaú were reviewed, as well as the independent expert’s report, as required by applicable regulations. At the conclusion of the meetings, Francisca Ponce, vice-president of the Group’s companies, addressed the shareholders, emphasising that the approval “…allows us to focus on consolidating this new structure, taking advantage of the long-term opportunities offered by the underlying asset”.

The transaction was led by the Group Pampa’s general manager, Catalina Silva Vial, and received legal advice from Fernando Barros Vial, Jorge Vigil and Josefina Castro, all of Barros Silva Varela & Vigil Abogados Ltda.

On 27 March 2026, the extraordinary general meetings of the Pampa Group companies approved the merger of Sociedad de Inversiones Oro Blanco S.A. with its parent company, Norte Grande S.A., and its subsidiary, Global Mining SpA; the transaction received broad support from shareholders, including the approval of the pension fund administrators (AFPs).
